There's no major problems.
1. Get EtherNec or EtherNea as suggested.
2. Install STiNG (this is the hardest part as you need to edit route.tab a little bit). There is no DHCP for STiNG so you need a static local IP-adress.
3. Surf, IRC, FTP - whatever. It should be working now.
Benefits of ethernet vs serial is of course the speed and the simplicity of getting everything up and running. My Falcon transfer rate is 400kbyte/s over EtherNec, while the serial tops around 10kbyte/s. I imagine EtherNea is faster over the ACSI port rather than the cartridge port for EtherNec as well.
However, experiments with STiNG reveals that it is much, much slower than MiNTNet (which the above speeds corresponds to). My standard Falcon did about 10-15kbyte/s with STiNG, while my ST did 60kbyte/s with MiNTNet!
