Can't really give you a complete picture but i do remember
some details regarding these days from Atari magazines:
At this time, Sam Tramiel was CEO of Atari and he wanted
Atari to become a pure video game company again. When
he became ill, his father took over as a substitute, found
out what state Atari was in and swore to "end this mess".
One final statement to the engineers, according to a
popular rumour, was "And i'll also take away your toys!".
He didn't see any perspective for Atari any longer and Jugi
Tandon (head of JTS) was an old friend of the family.
Jack Tramiel didn't need Atari any longer, he needed a
company to "host" all patents, licenses and intellectual
property of Atari and Jugi Tandon needed some money
because at this point, JTS (the successor of Tandon) was in
pretty bad shape as well.
It ended up by sharing trades and promising the remaining
Atari shareholders that JTS would "continue" what Atari
had started.
It never did. It ended by JTS being so close to bankrupt
that they needed to sell the brand name "Atari" and all
that was connected to it to Hasbro.
Game over.
